Advising on the Proposed Amalgamation of Zambian Mining Subsidiaries Involving Novel Corporate Restructuring under Local Law
We provided legal and tax advisory services on the proposed amalgamation of two Zambian mining subsidiaries. The matter involved interpreting underdeveloped areas of Zambian law related to amalgamations and required structuring advice to optimize group operations. Although the transaction was put on hold, the matter showcased the complexities of implementing novel corporate restructurings under local legal frameworks.
We advised on the regulatory aspects of a proposed cross-border acquisition in the gaming sector, involving multiple jurisdictions across Africa and Europe. Our work included assessing competition law risks, engaging with regional competition authorities, and restructuring shareholding to comply with local regulatory expectations. Although the transaction was ultimately terminated by the acquirer, the matter underscored key legal issues in cross-border gaming M&A, particularly under COMESA’s competition regime.
